1. About ShipWorks
ShipWorks (the “Service”) is a web application that helps Indian sellers crop and sort marketplace shipping labels and analyse product images to find lower-shipping-cost listings. The Service is provided by the team operating under the ShipWorks brand (“we”, “us”) and is offered to sellers (“you”) on the terms below.
2. Eligibility
You must be 18 years or older and capable of entering into a binding contract under Indian law. By using ShipWorks you confirm that you are signing up either as an individual seller or as an authorised representative of a registered business.
3. Your account
- You're responsible for the accuracy of the information on your account and for safeguarding your password. We recommend a unique password and immediate rotation if you suspect compromise.
- ShipWorks enforces a single active session per account — signing in from a new device automatically signs out the previous one. This is a security feature; please don't share login credentials with others.
- You may not impersonate someone else, create accounts using bots, or open multiple accounts to circumvent plan limits or trial offers.
4. The Service
We grant you a non-exclusive, non-transferable right to access and use the Service for your own seller operations, subject to your plan's limits. We may add, change, or remove features over time — if any change materially reduces a paid plan's value we will give you reasonable notice.
The Service is offered on an "as available" basis. We aim for high uptime but do not guarantee an SLA except where explicitly stated for an enterprise plan.
5. Plans, credits, and billing
- Credits are the unit of consumption. Labels processed and AI scans deduct from your credit balance.
- Top-up packs add permanent credits that do not expire. Pricing is shown on the billing page.
- Plan passes are fixed-duration purchases — Starter (28 days), Growth (56 days), Yearly (365 days). Each pass grants AI scan credits and unlocks unlimited labels within its validity window. A pass runs to its natural expiry and is not recurring by default.
- Free trial is a 7-day pass with no payment method required. Once it ends, uploads and AI scans pause until a paid plan is activated. AI scan credits earned during the trial stay in your balance and apply on any paid plan.
- Auto-renew is opt-in at checkout (default OFF). When enabled, we attempt to charge the same price one day before the current pass expires. You can turn it off any time from the billing page.
- Plan changes can be applied immediately ("switch now" — a pro-rate credit for the unused days on your current pass is deducted from the new charge) or queued for activation when your current pass ends. Downgrades are queued only.
- Grace window — when a paid pass expires you enter a 3-day read-only window. Past data stays viewable; new uploads and AI scans are paused until the plan is reactivated. After grace, access is fully locked but no data is deleted.
- Failed auto-renew — if Razorpay can't charge, auto-renew is turned off and the current pass still runs to its natural expiry. Pay manually before then to avoid the grace lockout.
6. Refunds
Refunds are governed by our separate Refund Policy, which is incorporated into these terms by reference. In summary:
- Top-up credit packs are refundable on request within 48 hours of payment, provided you have used less than 20% of the credits granted by that pack. Email [email protected] with the Razorpay payment id from /billing and we'll process eligible refunds within 1 working day.
- Plan passes (Starter, Growth, Yearly) are non-refundable once active — they run to their natural expiry. If you don't want a pass to renew, leave auto-renew off (off by default).
- Queued plans (pre-purchased to activate when a current pass ends) are fully refundable any time before activation. Cancel from /billing.
- Beyond these self-serve paths, write to us with the Razorpay payment id and we'll review case-by-case.
Plan passes are one-time purchases by default and do not auto-renew unless you explicitly opt in at checkout. You can turn auto-renew off at any time from the billing page; turning it off lets your current pass run to its natural expiry.
7. Acceptable use
You agree not to:
- Resell, sub-license, or otherwise commercialise the Service without our written agreement.
- Use the Service to process other businesses' shipping data as a paid service without their authorisation.
- Scrape, reverse-engineer, or attempt to discover source code or non-public APIs.
- Upload content that infringes third-party intellectual property, violates marketplace terms, or contains malicious code.
- Use the Service for any unlawful purpose, including activities that violate consumer-protection, tax, or anti-fraud law.
- Probe, test, or breach the security of the Service or attempt to access another user's account.
We may suspend or terminate accounts that breach this section without prior notice if the breach is severe or ongoing.
8. Your content
You retain ownership of the files you upload (shipping labels, product images, billing details). You grant us a limited licence to process those files solely to deliver the Service back to you. We don't use your content to train external models and we don't share it with anyone except as described in our Privacy Policy.
9. Our content and trademarks
The Service, the ShipWorks brand, our logos, page designs, and the underlying software are owned by us. Nothing in these terms transfers any of those rights to you beyond the licence to use the Service.
10. Payments and Razorpay
All payments are processed by Razorpay Software Private Limited. By paying you also agree to Razorpay's terms and privacy policy in addition to ours. ShipWorks never sees your full payment instrument; we only receive an order, payment id, status, and method label back from Razorpay.
11. Suspension and termination
- You can close your account at any time from your profile or by emailing us. Cancellation stops auto-renewals; you keep access through the end of any paid period.
- We may suspend or terminate accounts for breach of these terms, non-payment, security incidents, or where we believe the account is being used to harm us or others.
- On termination, your account access stops and unused top-up credits are forfeited unless a refund is due under the Refund Policy. Records we are required to retain for legal reasons stay with us per the Privacy Policy.
12. Disclaimers
ShipWorks is provided to help with label processing and shipping decisions — it is not a substitute for your own judgement as a seller. The Low-Shipping AI gives recommendations based on imagery; actual shipping costs depend on marketplace policies, weight, dimensions, courier rates, and other factors we don't control.
To the maximum extent permitted by law, the Service is provided "as is" and we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of liability
To the maximum extent allowed by Indian law, our aggregate liability to you in any 12-month period for any claim related to the Service is limited to the amount you paid us in that period. We are not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost sales, or lost data — even if we were aware of the possibility.
14. Indemnity
You agree to indemnify us against claims arising from your use of the Service in breach of these terms, your content, or any unlawful activity carried out using your account.
15. Governing law and disputes
These terms are governed by the laws of India. Disputes will be resolved by the competent courts of India. Before going to court, please write to us at [email protected] — most issues are settled by a short email exchange.
16. Changes to these terms
We may update these terms as the product evolves or the law changes. We will update the "Last updated" date and — for material changes — notify signed-in users by email or in-app banner. If you don't agree to the updated terms, stop using the Service before they take effect.
